What is a revenue share model in JDA?

A revenue share model in a Joint Development Agreement (JDA) is an arrangement where the landowner receives a predetermined percentage of the total sales revenue generated from the developed project rather than a fixed number of constructed units.

How Revenue Share Works

  • Landowner and developer agree: Landowner gets 20% of all sale proceeds.
  • Developer sells 100 units at ₹50 lakh each = ₹500 crore total revenue.
  • Landowner's share = ₹100 crore (20%).

Advantages of Revenue Share for Landowner

  • Market upside: If the project sells above expectations, landowner benefits proportionately.
  • No construction risk: Developer bears all construction cost and risk.
  • Passive income: Landowner need not participate in marketing or development.

The revenue share model aligns the landowner's return with market performance making it ideal in rising markets but risky in slow ones. Landowners should negotiate transparent revenue auditing rights, regular reporting obligations from the developer, and clear definitions of 'gross revenue' in the JDA.
