New Launch - India Real Estate Report 2026.

What is a Right of First Offer (ROFO)?

Right of First Offer (ROFO) gives tenant or investor priority right to make first offer to purchase or lease property before landlord markets it publicly, requiring landlord to notify holder of intent to sell before advertising.

How It Works

  • Landlord must notify holder before selling
  • Holder makes first offer on property
  • If holder declines, landlord markets publicly
  • Holder cannot negotiate with others first

Common Uses

  • Apartment lease renewals
  • Commercial property sales
  • Multi-tenant building expansions
  • Investment property acquisitions

ROFOs give tenants or investors priority making first offers to purchase or lease before landlords market publicly requiring notification before advertising.
