When does Guaranteed Maximum Price Contract apply in a property deal?

A Guaranteed Maximum Price (GMP) contract applies in construction or development deals where the contractor agrees not to exceed a specified maximum cost, while still allowing for cost savings to be shared with the owner. It is commonly used to control budget risk in real estate projects where design is not fully complete at the time of contracting.

When GMP Contracts Are Used

  • Large-scale commercial or residential development projects
  • Projects where the owner wants cost certainty without full price negotiation upfront
  • Renovation or construction projects with moderate design flexibility
  • Fast-track projects where design and construction proceed simultaneously

How GMP Contracts Work

  • Contractor estimates total project cost, including a contingency buffer
  • Owner agrees to pay actual costs up to the guaranteed maximum
  • Savings below the GMP are often shared between owner and contractor
  • Any costs exceeding the GMP are borne by the contractor unless scope changes are agreed

Benefits and Risks

  • Protects owners from unexpected cost overruns beyond the agreed maximum
  • Contractors may build in higher contingencies to offset their risk exposure
  • Requires clear documentation of scope changes to avoid disputes
  • Incentivizes the contractor to manage costs efficiently to share in any savings

A Guaranteed Maximum Price contract offers real estate developers and owners valuable cost protection, making it a popular choice for projects where budget certainty is a top priority.
