What is the impact of SEBI regulations on REITs?

SEBI (Securities and Exchange Board of India) regulates Real Estate Investment Trusts (REITs) through the SEBI (Real Estate Investment Trusts) Regulations, 2014, which were progressively refined to make REITs more accessible and investor-friendly. SEBI's regulations have been pivotal in launching and growing India's REIT market, which now comprises three listed REITs with a combined asset value exceeding ₹1 lakh crore.

Key Regulatory Provisions

  • Minimum investment: Reduced from ₹50,000 to ₹10,000–15,000 per lot to enable retail participation.
  • Mandatory distribution: 90% of distributable cash flow must be distributed to unit holders as dividends.
  • Leverage cap: REIT borrowings capped at 25% of asset value to manage risk.
  • Asset composition: 80% of REIT assets must be in income-generating properties.
  • Governance: REITs must have independent directors, valuation experts, and auditors as per SEBI norms.

Progressive Reforms

  • 2019: First REIT (Embassy Office Parks) listed on NSE/BSE.
  • 2020: Reduced lot sizes and allowed partial unit sale to improve liquidity.
  • 2021: Allowed REITs to invest in under-construction projects up to 20% of asset value.
  • 2023: SEBI introduced SM REITs (Small and Medium REITs) for smaller properties with asset value of ₹50 crore+.

SEBI's evolving REIT regulations have been a game-changer for Indian real estate, transforming illiquid, opaque assets into regulated, tradeable instruments. Further reforms including the SM REIT framework are expected to deepen market participation and liquidity.
